Terms and Conditions of Product Supply & Purchase Agreement

At Cottage Foods (Yorkshire) Ltd we strive to be the best delivered ingredient specialist for our unique customer base across the UK.

To compliment this we require suppliers to behave in a cartain manner and these terms and conditions of purchase are designed with that goal in mind.

Please be aware this document forms our standard terms and conditions for supply to Cottage Foods (Yorkshire) Ltd. Failure to meet these may result in delayed payment and charges. By delivering to Cottage Foods (Yorkshire) Ltd, you by default agree to the terms as outlined in this document

Product Information:

All product specifications must be available and provided toCottage Foods (Yorkshire) Ltdd including, allergen specs, product shelf life etc

Shelf Life & Product Quality:

Cottage Foods (Yorkshire) Ltd requires the following minimum shelf life of products delivered:

Ambient: 6 months

Chilled: 1 month (30 days from date of delivery)

Frozen: 12 months

Failure to meet our minimum shelf life commitment will incur a charge of 15% of the short lifed products cost.

All products should be sealed and in new condition without damages to cases or product. Damages to any apackaging may be refused or returned to the supplier.

All delvivered products must match the spec as agreed with our purchasing team. Failure to do this may result in products being rejected or a charge being implemented.

The supplier gives warrenty that all products received will be inline with the legal wrights and measurments act.

Pricing:

Pricing of the suppliers products must be agreed in advance. Any price increase must be notified via email correspondence with a minimum of 7 days notice. Failure to do this will lead to the agreed pricing being paid on any invoice and may lead to a delay in payment and/or charges incurred.

Ordering:

Cottage foods will provide the supplier with a PO by order. This PO will state the agreed pricing, deviation from this pricing must be raised prior to the dispatch of the order, failure to do this will mean Cottage Foods will pay the PO value by product line.

Orders will be submitted electronically.

Payment Terms:

Cottage Foods operates a standard 60 days end of week from date of goods received and checked into our warehouse system. Deviation from this standard terms must be prior agreed with Cottage Foods (Yorkshire) Ltd.

Delivery:

Cottage Foods (Yorjkshire) Ltd accepts deliveries Monday to Friday from 6.30am to 1pm.

Deliveries received or attempted after this time without prior agreed consent may incur a charge or be refused.

Deliveries should be loaded onto a euro or white pallet (CHEP pallets are accepted but please advise prior to delivery)

Where a delivery does not require a pallet the driver should safely unload the delivery via hand cart into our loading area.

Product may take up to 60 minutes to be checked and delivery notes will be marked as unchecked, any discrepancy will be reported within 24 hours to the supplier.

Unsafe loads or loads not unloaded by the suppliers delivery vehicle may incur a charge or be refused.

Cottage Foods (Yorkshire) deliveries requiring forklift unloading must have the relevant products at the front of the vehivcle delivery doors, Cottage Foods (Yorkshire) Ltd will not unload other deliveries to access our planned delivery without charging an unload fee of £25 per pallet.

Mannual requirement to pull deliveries to the front of a vehicle for unloading will also incur a charge of £25 per pallet

If a pallet is unsafe and needs restacking prior to unloading there is a pallet rework fee of £25 per pallet

For temperature sensitive deliveries we require as a standard the vehicle temperature to be logged on the delivery paperwork.

Any damages on the delivery will be recorded and the supplier made aware within 24 hours of delivery, we require this product to be collected and a credit note issued within 7 days from notification or it will be destroyed and a destroy fee of £1 per product charged to the supplier.

Paperwork:

Cottage Foods (Yorkshire) Ltd requires relevant paperwork to be received with every delivery, this can be sent ahead electronically if suitable.

Incorrect paperwork vs the delivered product may incur a charge or result in a delivery being refused.

  

Charges:

Cottage Foods (Yorkshire) reserves the right to implement the below charges if the conditions within this document are not met

Delivery received outside of inbound delivery window (6.30am to 1pm): £25 per pallet/Load 

Failed delivery vs agreed delivery date £10 

Unsafe load / pallet £25 per pallet

Pallets inaccessible on vehicle £25 per pallet moved

Incorrect temperature: Product refusal & one off charge of £30 

Vehicle not pulled into delivery area and manual unload required £25 

Paperwork

Incorrect / incomplete paperwork/labelling: One off fee of £10 

Product

Short dated product delivered vs Terms: 15% of product cost by product

Non-communicated change in product specs 15% of product cost per unit delivered

Product recall - Non-FSA health issue 

£1000 implementation fee. £200 Administration fee. Cost of customer collection (TBC). Customer refund cost (TBC). Loss of sales (at retail value for duration of non-supply).

Product recall - FSA health issue 

£2000 implementation fee. £200 Administration fee Cost of customer collection (TBC). Customer refund cost (TBC). Loss of sales (at retail value for duration of non-supply).

Non-communication of product recall £50,000
